Intellectual property
INSTALL is the exclusive owner of all exploitation rights pertaining to the computer programs (agile systems) and methodologies of said programs, worldwide and indefinitely. Clients will not acquire any ownership rights over said programs. Clients may only use the computer programs for purposes related to their ordinary business activity; therefore, the following are expressly prohibited:
- Sharing usage time with third parties, as well as making it accessible to third parties.
- Do not create successive versions of the programs or programs derived from them.
- Reverse engineering, reprogramming or modification of any kind.
- Ask ERP/IT vendors to reproduce, include, and copy these agile systems into their products.
- Transferring, assigning, leasing, or selling the programs, as well as any other act of disposal, temporary or permanent, free of charge or for a fee, being responsible for the consequences that arise from such actions.
- Claiming, reproducing the source code, or translating its form.
Licenses & Annual Maintenance
All License and Maintenance contracts are annual and automatically renewed at the end of each year. Annual License and Maintenance contracts can be terminated at the end of each year between November and December (inclusive) by the admin user via email to helpdesk@insta-lean.com. Regarding the contracting of the software maintenance services owned by InstaLin, Any of the following will be grounds for termination: Failure to pay any of the annual fees. Breach of the obligations established in the clauses relating to intellectual property. Upon termination of the software maintenance contract for any reason, the user shall return all copies of the installed programs within fifteen days of the termination date, as well as the corresponding User Manuals. If the License & Annual Maintenance contract is terminated after the legally stipulated period, the user must pay the full fee for the current year.
All InstaLean customers, upon contracting their services, agree to this list of conditions and rates.
